Job Description

Members of CoBank's Paralegal Development Program provide legal support in a variety of areas to assist attorneys and supervisors with the bank's corporate and transactional legal work. The Paralegal Development Associate progresses through a two-year rotation of the various functional groups in CoBank's legal department in order to gain a broad understanding of the Bank, its customers and the paralegal role while providing on-the-job experience. CoBank's Paralegal Development Program is ideal for strong candidates who are new to the paralegal profession or lack directly relevant paralegal experience in the secured lending and corporate areas.

Essential Functions

Documentation / Collateral Paralegal Rotation

  • Drafts loan and ancillary documents, prepares banking forms, and ensures compliance with guidelines
  • Collaborates with internal and external teams to manage transaction details, provide updates, and respond to requests
  • Maintains accurate deal tracking, manages checklists, and ensures timely completion of required documentation
  • Orders organizational documents, reviews Signatory Authority Reviews (SigArs), and ensures proper execution of legal documents
  • Manages Vital Records for assigned transactions and ensures all legal conditions and checklists are met

Collateral Administration / Flood Paralegal Rotation

  • Drafts and reviews legal and collateral documents; perfects collateral and maintains updates or releases, as needed
  • Orders UCC lien searches and reviews title commitments, abstracts, policies, and other due diligence documents; manages title issues
  • Works with outside counsel to receive closing binders and necessary collateral.  Tracks collateral for accuracy and completion
  • Ensures real property collateral compliance with Flood Laws and orders flood zone determinations
  • Communicates flood insurance requirements and ensures flood due diligence before loan closing
  • Tracks collateral and insurance in internal systems and performs additional tasks to ensure compliance with flood laws

Corporate Paralegal

  • Supports the Office of General Counsel (OGC) and Board Relations teams with various paralegal tasks, including meeting coordination and director disclosure processes
  • Drafts and reviews legal contracts, conducts legal research, and provides project and transaction support
  • Maintains and updates OGC internal systems (Malbek, Diligent, etc.) accurately and in a timely manner

Note: These rotations are subject to change based on needs of the team

Education

  • High school diploma or GED required
  • Bachelor's degree or paralegal certification preferred

Work Experience

  • Prior experience in secured lending, banking or financial services industry, title company, or law firm/legal department preferred

Physical Exertion Details

Sedentary Exerting up to 10 pounds of force occasionally (Occasionally: activity or condition exists up to 1/3 of the time) and/or a negligible amount of force frequently (Frequently: activity or condition exists from 1/3 to 2/3 of the time) to lift, carry, push, pull, or otherwise move objects, including the human body. Sedentary work involves sitting most of the time, but may involve walking or standing for brief periods of time. Jobs are sedentary if walking and standing are required only occasionally and all other sedentary criteria are met.

Travel Requirement Details

Occasional Travel occurs infrequently (typically, once a month or less).

About CoBank

The typical base pay range for this role is between $50,000 - $57,200. Compensation may vary based on individual job-related knowledge, skills, expertise, and experience. This position is eligible for a discretionary annual incentive program driven by organization and individual performance.
