Job Description

The Senior Paralegal performs various legal and other necessary work and research to assist the teams of the Office of General Counsel and Board Relations with corporate, transactional and litigation legal work. This paralegal will perform a variety of tasks relating to drafting, reviewing and managing various contracts. In addition, this paralegal will assist with the handling of all phases of litigation, arbitration and case management. Some litigation duties include: collecting documentation and investigating facts and discovery, working with outside counsel and issuing and managing the Legal Hold process. As it relates to Board Relations, this paralegal will assist with preferred stock issuances, board of director meeting planning and coordination and administration of director elections and other stockholder votes. Under the supervision of a managing attorney, this paralegal may also assist with regulatory compliance issues and initiatives and the identification and communication of legal and regulatory requirements to stakeholders across the organization.

Essential Functions

The essential functions may include but are not limited to assisting attorneys and other paralegals with the following:

  1. Assist in drafting and reviewing various legal third-party contracts with suppliers and vendors, including Non-Disclosure Agreements, Statements of Work, Master Service Agreements, etc.
  2. Managing contract databases and ensuring compliance.
  3. Assist in document collection, review, and preparation for e-discovery requests and track legal proceedings.
  4. Collaborate with in-house attorneys and outside counsel to develop and implement litigation strategies.
  5. Perform legal research and fact investigations.
  6. Assist Board Relations with meeting planning, coordination and information dissemination.
  7. Assist Board Relations with annual director disclosure process.
  8. Assist Board Relations with director elections and other stockholder votes.
  9. Assist Board Relations with preferred stock issuances.
  10. Update OGC internal systems (Malbek, Diligent and others), consistently, timely and accurately.
  11. Provide project and transaction support as needed.
  12. Draft procedures, job aids and guidance.
  13. Handle important paralegal administrative functions that have significant impact on the business unit and overall organization. These administrative tasks require great attention to detail and the paralegal must ensure that strict deadlines/timelines are adhered to and met.
  14. Independently perform general corporate paralegal functions as needed.

Education

  • High school diploma or GED required

Work Experience

  1. Bachelor’s degree and/or paralegal certification preferred.
  2. Five or more years of experience in secured lending, banking or financial services industry, corporate governance, law firm/legal department or appropriate combination of education and experience.
  3. Demonstrated skills in Microsoft Office applications (Outlook, Word and Excel).
  4. Ability to prioritize and schedule work and projects with minimal supervision.
  5. Ability to work independently, as well as collaboratively in a team environment.
  6. Excellent analytical and problem-solving skills.
  7. Strong organizational and time management skills.
  8. Strong detail and customer service orientation.
  9. Excellent verbal and written communication and interpersonal skills.

 

Special Requirements

  1. Availability for occasional work outside of business hours.
  2. Availability for occasional travel.

Physical Exertion Details

Sedentary Exerting up to 10 pounds of force occasionally (Occasionally: activity or condition exists up to 1/3 of the time) and/or a negligible amount of force frequently (Frequently: activity or condition exists from 1/3 to 2/3 of the time) to lift, carry, push, pull, or otherwise move objects, including the human body. Sedentary work involves sitting most of the time, but may involve walking or standing for brief periods of time. Jobs are sedentary if walking and standing are required only occasionally and all other sedentary criteria are met.

The typical base pay range for this role is between $80,300 - $91,840. Compensation may vary based on individual job-related knowledge, skills, expertise, and experience. This position is eligible for a discretionary annual incentive program driven by organization and individual performance.
